Expression of Interest - Commercial Director - Te Tii GP Limited

The Board of Te Tii (Waitangi) B3 Trust, "The Trust", is seeking expressions of interest (EOI) for one (1) Director for appointment to our commercial subsidiary,
Te Tii GP Limited.

Te Tii GP Limited Directors are responsible for the governance of Te Tii GP Limited and its Limited Partnerships by representing all commercial interest activities on behalf of Te Tii (Waitangi) B3 Trust, including its strategic development and growth. 

The Board has final responsibility for the governance of the commercial group.  In doing so it strives to achieve best practice principles.

It is expected that Directors will have the appropriate mix of skills, attributes or areas of expertise such as:

  • Governance or senior executive experience in similar organisations (i.e. Maori, Iwi, Charitable);
  • Strong general commercial acumen and experience, in particular commercial development, project management and economic development
  • Director education with a clear understanding of the duties of a director and knowledge of the Code of Conduct;
  • General knowledge of the Companies Act 1993, General Partnership Act 1908 and Limited Partnership Act 2008;
  • Strategic thinking with an ability to see the big picture and take the long-term view, strategy development skills and awareness of and commitment to the organisation’s strategic objectives;
  • Must be a person of good standing in the community and in their usual occupation or profession;
  • Willingness to represent the best interests of all stakeholders and objectively appraise Board and management performance;
  • Maturity and discipline to know and maintain the fine line between governance and management oversight;
  • High level of respect within Te Tii Waitangi and wider beneficiary group for their passion for commercial development.

The Trust will determine the suitability of the nominees and will short list the applicants to stand for election as Director, operating in accordance with Te Tii GP Constitution. Each selected applicant will be required to make a presentation to the Trust.

Directors will receive an annual honorarium that is paid quarterly.  Travel and accommodation expenses incurred in the course of Te Tii GP activities are reimbursed at cost and in accordance with IRD mileage rates.
Board meetings will be held on a monthly basis either face-to-face or teleconference.
Under Te Tii GP Constitution at an annual general meeting at least one third of the Directors must retire from office, but will be eligible for re-appointment at that meeting.  The order of Directors to retire will be those Directors who have been longest in office since their last election.

Expression of Interest should include:

  • a letter addressing the key selection criteria
  • an up-to-date CV, of no more than four pages, including two referees relevant to your area of work.
